1. Acceptance of Terms

By accessing or using AiVidect ("Service", "Platform", "we", "our"), operated by AiVidect, you ("User", "you", "your") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

These Terms constitute a legally binding agreement between you and AiVidect. By creating an account, subscribing to our services, or using any feature of the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms.

2. Service Description

AiVidect provides AI-powered video analysis and AI-generated content detection services. Our Platform uses machine learning algorithms to analyze video content and provide authenticity assessments.

Service Offerings:

• Free Tier: Limited analysis capacity (3 analyses per day, up to 2-minute videos)
• Pro Tier: Enhanced analysis capacity (50 analyses per day, up to 10-minute videos, API access)
• Business Tier: Professional analysis capacity (500 analyses per day, up to 30-minute videos, priority support, batch upload)

Important: Results provided by AiVidect are probabilistic assessments, not absolute guarantees. You should not rely solely on our Service for critical decisions. The Service is provided for informational purposes only.

3. User Accounts and Responsibilities

3.1 Account Registration: To access certain features, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information as necessary.

3.2 Account Security: You are responsible for maintaining the confidentiality of your account credentials. You agree to notify us immediately of any unauthorized access or use of your account.

3.3 Prohibited Activities: You may not:

• Upload, transmit, or analyze content that is illegal, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or invasive of another's privacy
• Use the Service to harm minors in any way
• Upload content that you do not have the right to use or distribute
• Use the Service for any commercial purpose without our express written permission
• Attempt to reverse engineer, decompile, or discover the source code of the Service
• Use automated tools (bots, scrapers) to access the Service without permission
• Circumvent any rate limits or usage restrictions
• Use the Service to compete with AiVidect or build a similar service

4. Subscriptions and Billing

4.1 Subscription Plans: Paid subscriptions are available on monthly or yearly billing cycles. Prices are listed on our Pricing page and may be subject to change with notice.

4.2 Automatic Renewal: Unless you cancel your subscription before the end of the current billing period, your subscription will automatically renew for an additional period of the same duration at the then-current subscription rate.

4.3 Payment Processing: All payments are processed securely through Stripe. By subscribing, you authorize us to charge your payment method for all applicable fees.

4.4 Cancellation: You may cancel your subscription at any time. Cancellation will take effect at the end of your current billing period. You will retain access to paid features until that time.

4.5 Downgrades: If you downgrade from a paid plan to the Free tier, the downgrade will take effect at the end of your current billing period.

5. NO REFUND POLICY

ALL SALES ARE FINAL. NO REFUNDS WILL BE ISSUED FOR ANY REASON, INCLUDING BUT NOT LIMITED TO:

• Dissatisfaction with service results or accuracy
• Failure to use the service during the billing period
• Account suspension or termination for violation of these Terms
• Technical issues, service interruptions, or downtime
• Change of mind or buyer's remorse
• Partial use of the billing period
• Unused analyses, API calls, or features

By subscribing to any paid plan, you explicitly acknowledge and agree to this No Refund Policy. We strongly encourage you to test our Free tier before subscribing to a paid plan.

Chargebacks: If you initiate a chargeback or payment dispute without attempting to resolve the issue with us first, we reserve the right to immediately terminate your account and pursue legal remedies to recover costs and damages.

6. Intellectual Property Rights

6.1 AiVidect Property: The Service, including all content, features, functionality, source code, algorithms, designs, and trademarks, is owned by AiVidect and is protected by international copyright, trademark, and other intellectual property laws.

6.2 Your Content: You retain ownership of any content you upload to the Service. By uploading content, you grant us a limited, worldwide, non-exclusive license to use, process, and analyze your content solely to provide the Service.

6.3 Data Retention: Uploaded videos are processed and then deleted from our servers. Analysis results may be cached for performance purposes and linked to your account for historical reference.

7. Disclaimers and Limitations of Liability

7.1 Service "As Is": THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

7.2 No Accuracy Guarantee: We do not guarantee the accuracy, reliability, or completeness of any analysis results. AI/ML systems can produce false positives and false negatives. You should not rely solely on our Service for critical decisions.

7.3 Limitation of Liability: TO THE MAXIMUM EXTENT PERMITTED BY LAW, AIVIDECT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your use or inability to use the Service
• Inaccurate analysis results or false determinations
• Unauthorized access to or alteration of your transmissions or data
• Service interruptions or errors
• Any reliance on content or analysis obtained through the Service

7.4 Maximum Liability: In no event shall AiVidect's total liability to you for all damages exceed the amount you paid to AiVidect in the six (6) months preceding the claim, or $100 USD, whichever is less.

8. Indemnification

You agree to indemnify, defend, and hold harmless AiVidect, its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any rights of another party
• Content you upload or transmit through the Service

9. Termination

9.1 By You: You may terminate your account at any time by contacting us. Upon termination, your access to paid features will continue until the end of your current billing period.

9.2 By Us: We reserve the right to suspend or terminate your account immediately, without prior notice or liability, for any reason, including breach of these Terms. Upon termination by us for cause, you forfeit any remaining subscription time and no refund will be issued.

9.3 Effect of Termination: Upon termination, your right to use the Service will immediately cease. Provisions of these Terms that by their nature should survive termination shall survive, including intellectual property provisions, disclaimers, indemnity, and limitations of liability.

10. Dispute Resolution and Arbitration

10.1 Informal Resolution: Before filing a claim, you agree to contact us at support@aividect.com and attempt to resolve the dispute informally for at least 30 days.

10.2 Binding Arbitration: If informal resolution fails, any dispute arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration will be conducted in English in the United States.

10.3 Class Action Waiver: YOU AND AIVIDECT AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A CLASS MEMBER IN ANY CLASS OR REPRESENTATIVE ACTION.

10.4 Exceptions: Either party may seek equitable relief in court for infringement of intellectual property rights.

11. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles. Any legal action or proceeding arising under these Terms will be brought exclusively in the federal or state courts located in Delaware, and you hereby consent to personal jurisdiction and venue therein.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and updating the "Last Updated" date. Your continued use of the Service after such modifications constitutes your acceptance of the updated Terms.

Material Changes: For material changes (such as price increases or significant service modifications), we will provide at least 30 days' advance notice via email.

13. Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand our practices.

14. Miscellaneous

14.1 Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and AiVidect regarding the Service.

14.2 Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

14.3 Waiver: No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term.

14.4 Assignment: You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction.

14.5 Force Majeure: We shall not be liable for any failure to perform our obligations where such failure results from causes beyond our reasonable control.
